The Clinton Health Access Initiative, Inc. (CHAI) is a global health organization committed to our mission of saving lives and reducing the burden of disease in low-and middle-income countries. We work at the invitation of governments to support them and the private sector to create and sustain high-quality health systems.

 

CHAI was founded in 2002 in response to the HIV/AIDS epidemic with the goal of dramatically reducing the price of life-saving drugs and increasing access to these medicines in the countries with the highest burden of the disease. Over the following two decades, CHAI has expanded its focus. Today, along with HIV, we work in conjunction with our partners to prevent and treat infectious diseases such as COVID-19, malaria, tuberculosis, and hepatitis. Our work has also expanded into cancer, diabetes, hypertension, and other non-communicable diseases, and we work to accelerate the rollout of lifesaving vaccines, reduce maternal and child mortality, combat chronic malnutrition, and increase access to assistive technology. We are investing in horizontal approaches to strengthen health systems through programs in human resources for health, digital health, and health financing. With each new and innovative program, our strategy is grounded in maximizing sustainable impact at scale, ensuring that governments lead the solutions, that programs are designed to scale nationally, and learnings are shared globally.

About the Position

 

CHAI’s Legal Team provides critical legal and regulatory guidance across the organization, supporting program and country teams as they deliver lifesaving work around the world. As part of CHAI’s broader operational support function, the Legal Team ensures that CHAI’s work is conducted with integrity, in compliance with relevant laws and standards.

 

We are seeking a Manager, Legal Operations to strengthen and enhance CHAI’s global legal operations. Reporting to Senior Counsel, this role will work in close partnership with other Legal Team members and collaborate with colleagues across CHAI, including key functional teams such as Finance, Human Resources, and Information Technology. The Manager will also engage with CHAI Leadership to support strategic initiatives and ensure that legal processes enable CHAI’s global mission.

Responsibilities

 

Support of Corporate Entity Management & Business Licenses      (50%)

    

  • Proactively oversee and manage CHAI’s domestic (United States) business licenses, including solicitation of funds registrations, foreign corporate registrations, etc. Direct and manage work done by third-party consultants as needed.      
  • Ensure CHAI has completed all all corporate filings and registrations needed to maintain CHAI’s status as an employer in multiple non-presence jurisdictions outside of the United States.
  • Serve as Point of Contact across CHAI Operations (Finance, Payroll, Contracts, Human Resources, Compliance, etc.) to handle all legal correspondence, registration and other documentation requests (e.g., drafting and executing Power of Attorney documents, providing updates, tracking registrations, etc.)
  • Maintain cloud-based file systems and compliance tracking systems set up by the office.

 

Training for Legal Office (20%)

  • Lead Legal Office in crafting and rolling out an organization-wide training program on various ethics and compliance issues including conflicts of interest, financial disclosure and fraud, waste and abuse. This independent work would require taking the initiative in designing the various trainings and providing them to CHAI staff around the world with minimal oversight.

 

Board of Directors Support (20%)

  • Preparation and maintain of materials for Board meetings, including drafting and reviewing board minutes, resolutions and other documentation.
  • Liaise with Board members and Officers to complete annual disclosures.
  • Track updates to corporate governance requirements and maintain governance documentation/minute books for CHAI entities.

Qualifications

Required

  • Bachelor’s degree in a field relevant to CHAI’s work (legal, business, public health, international development, etc.) plus 6years minimum experience in a full-time capacity.
  • High level corporate administrative experience required.
  • Detail-oriented with demonstrated ability to manage complex full continuum projects involving multiple stakeholders at one time; commitment to using established organizational principles to ensure that all tasks are completed, both large and small.
  • Ability to communicate effectively with people of varied professional and cultural backgrounds.
  • Keen attention to professional email etiquette, especially with regard to the transmission of sensitive data.
  • Highly motivated to seek out resolutions, work independently and self-motivate with oversight provided by a remote manager.
  • High proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

 

Preferred:

  • Candidates with legal paraprofessional experience preferred.
  • Experience in a global matrixed organization is highly preferred.
